Acceptance of Terms
Welcome to Moneyscope! These Terms of Service ("Terms") set forth the terms and conditions that apply to your access and use of all Moneyscope products and services (together, the “Service”), and that are made available through our websites including but not limited to www.moneyscope.ai, as well as through certain downloadable mobile applications (such websites or mobile applications, the “Site”). In the Terms, “Moneyscope," "we," "us," or "our" means Ubicross LLC and “you” refers to the individual using the Service and, if such individual is using the Services on behalf of an entity or organization, then such entity or organization (and each of your successors and assigns).
By accessing or using the Service, you agree to be bound by these Terms. Your use of the Service indicates your acceptance of these Terms, and our Privacy Policy is included by reference. If you disagree with these Terms or the Privacy Policy, please do not use the Service. Access to the Service is prohibited if you do not agree, and you must stop using it immediately.
The information provided on the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Service is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Service. You may not use the Service in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
Registration and Account Security
To use the Service you must (i) be at least eighteen (18) years of age; (ii) have not previously been suspended or removed from the Service; and (iii) register for and use the Service in compliance with any and all applicable laws and regulations.
a) Account Registration. To access some features of the Service, you may be required to register for an account. When you register for an account, we may ask you to give us certain identifying information about yourself, including but not limited to your email address and other contact information, and to create a user name and password (“Registration Information”). When registering for and maintaining an account, you agree to provide true, accurate, current, and complete information about yourself. You also agree not to impersonate anyone, misrepresent any affiliation with anyone else, use false information, or otherwise conceal your identity from Moneyscope for any purpose.
b) You Are Responsible For Your Account. You are solely responsible for maintaining the confidentiality and security of your password and other Registration Information. For your protection and the protection of other users, we ask you not to share your Registration Information with anyone else. If you do share this information with anyone, we will consider their activities to have been authorized by you. If you have reason to believe that your account is no longer secure, you must immediately notify us at support@moneyscope.ai.
Prohibited Activities
When using the Service, you are expected to adhere to a set of guidelines that include, but are not limited to, the following restrictions:
Compliance with Laws: Do not use the Service in any way that violates local, national, or international laws and regulations, including those related to the export of data or software to and from the US or other countries.
Protection of Minors: Do not use the Service with the intention of causing harm to or exploiting minors. This includes actions such as exposing them to inappropriate content, requesting their personally identifiable information, or engaging in any harmful activities.
Content Standards: Do not upload, download, or share material on the Service that does not meet the content standards set out in these Terms of Service.
Unsolicited Content: Do not transmit or solicit any unsolicited advertising or promotional material, including activities such as sending "junk mail," creating "chain letters," or sending spam.
Disruptive Conduct: Do not engage in any activities that restrict or hinder others from using and enjoying the Service. This includes behaviors that, as determined by us, could harm the Moneyscope, other users, or expose them to liability.
Additionally, you are prohibited from:
• Putting your personal information at unnecessary risk, which includes sharing or disclosing your login or passwords.
• Using the Service in a way that could disable, overload, damage, or impair the Service or disrupt the experience of other users, including their real-time interactions on the Service.
• Employing automated methods or devices, such as robots or spiders, to access the Service for any purpose, including monitoring or copying any Service materials.
• Using any manual methods to monitor or copy Service materials or for any unauthorized purposes without our prior written consent.
• Utilizing any device, software, or routine that interferes with the proper functioning of the Service.
• Introducing malicious or technologically harmful materials, such as viruses, trojan horses, worms, or logic bombs, to the Service.
• Attempting unauthorized access, interference, or disruption of any parts of the Service, the hosting server, or any servers, computers, or databases linked to the Service.
• Any other attempts to interfere with the proper functioning of the Service.
Privacy and Data Protection
All information we collect on this Service is subject to our Privacy Policy. By using the Service, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Some of the Services involve advice from third-parties and third-party content. You agree that any such advice and content is provided for informational, educational, or entertainment purposes only, and does not constitute legal, financial, tax planning, medical, or other advice from Moneyscope. You agree that Moneyscope is not liable for any advice provided by third-parties. You agree that you are responsible for your own financial research and financial decisions, and that Moneyscope is not responsible or liable for any decisions or actions you take or authorize third-parties to take on your behalf based on information you receive as a user of Moneyscope.
Sharing Information With Third-Parties
To use some of the Services, you may need to provide information such as credit card numbers, bank account numbers, and other sensitive financial information (such as investments, income, expenses, investable assets, investing risk tolerance or other similar types of information), to third-parties. By using the Services, you agree that Moneyscope or its subcontractors may collect, store, and transfer such information on your behalf, and at your sole request. You agree that your decision to make available any sensitive or confidential information to third-parties is your sole responsibility and at your sole risk. Moneyscope has no control and makes no representations as to the use or disclosure of information provided to third-parties. You agree that these third-party services are not under Moneyscope’s control, and that Moneyscope is not responsible for any third-party’s use of your information.

The Services may contain links to third-party websites and services. Moneyscope provides such links as a convenience, and does not control or endorse these websites and services. You acknowledge and agree that Moneyscope has not reviewed the content, advertising, products, services, or other materials that appear on such third-party websites or services, and is not responsible for the legality, accuracy, or appropriateness of any such content, and shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party websites or services.
Intellectual Property and User Content
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Moneyscope, its licensors, or other providers of such material applicable copyright and other intellectual property laws. All trademarks and service marks on the Service are the property of Moneyscope, except for third-party marks, which are owned by their respective owners.
These Terms permit you to use the Service for personal, non-commercial purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Service without express written permission.
Unauthorized use may result in termination of your right to use the Service, and you must return or destroy any copies of materials made. No right, title, or interest in the Service or its content is transferred to you, and all rights not expressly granted are reserved by Moneyscope.
By submitting content to the Service, you represent that you own or have the right to use the content. You grant Moneyscope a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, and distribute your content for purposes outlined in the Privacy Policy or otherwise as needed.
WE ARE NOT RESPONSIBLE, OR LIABLE TO ANY THIRD PARTY, FOR THE CONTENT OR ACCURACY OF ANY USER CONTRIBUTIONS POSTED BY YOU OR ANY OTHER USER OF THE WEBSITE.

Moneyscope may terminate accounts of repeat infringers.
Termination
If you violate the Terms, your permission to use the Services will automatically terminate. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us at support@moneycope.ai. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Disclaimer of Warranties
THE DISCLAIMERS AND LIMITATIONS ON OUR LIABILITY IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. THE SERVICES ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. ALTHOUGH MONEYSCOPE SEEKS TO MAINTAIN SAFE, SECURE, ACCURATE, AND WELL-FUNCTIONING SERVICES, WE CANNOT GUARANTEE THE CONTINUOUS OPERATION OF OR ACCESS TO OUR SERVICES, AND THERE MAY AT TIMES BE INADVERTENT TECHNICAL OR FACTUAL ERRORS OR INACCURACIES.
NO WARRANTIES
MONEYSCOPE SPECIFICALLY (BUT WITHOUT LIMITATION) DISCLAIMS (I) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (II) ANY WARRANTIES ARISING OUT OF COURSE-OF-DEALING, USAGE, OR TRADE. YOU ASSUME ALL RISK FOR ANY/ALL DAMAGES THAT MAY RESULT FROM YOUR USE OF OR ACCESS TO THE SERVICES. MONEYSCOPE MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING ANY THIRD-PARTY SERVICE OR ADVICE PROVIDED BY A THIRD-PARTY, OR ANY QUOTES OR OFFERS PROVIDED THROUGH THE SERVICES. MONEYSCOPE DOES NOT ENDORSE ANY PARTICULAR ADVISOR OR OTHER THIRD-PARTY. MONEYSCOPE ACTS SOLELY AS AN INTERMEDIARY BETWEEN YOU AND THIRD-PARTY SERVICE PROVIDERS AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR ANY CONTENT, PRODUCTS, OR SERVICES PROVIDED BY SUCH SERVICE PROVIDERS. SEE SECTION 3, ABOVE, FOR MORE INFORMATION REGARDING THIRD-PARTIES AND THIRD-PARTY SERVICES.
Limitation on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL MONEYSCOPE OR ITS OFFICER’S, EMPLOYEES, SERVICE PROVIDERS OR REPRESENTATIVES BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT MONEYSCOPE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND (B) TO THE EXTENT OUR LIABILITY HAS NOT ALREADY BEEN EXCLUDED IN THE FOREGOING, IN NO EVENT SHALL OUR CUMULATIVE LIABILITY TO YOU, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE GREATER OF WHAT YOU PAID US IN THE LAST TWELVE MONTHS FOR THE APPLICABLE SERVICES (IF ANY) AND US $100.
Indemnification
You agree to defend, indemnify and hold harmless us, our affiliates, licensors and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including your User Contributions, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service, breach of these Terms, including any breach of your representations and warranties set forth in these Terms, your violation of the rights of a third party, including but not limited to intellectual property rights, any overt harmful act toward any other user of the Service with whom you connected via the Service.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding subject to this indemnification upon becoming aware of it.
Modification of Terms
We reserve the right, at our sole discretion, to revise and update these Terms as needed. When changes are made, they become effective immediately upon posting and apply to all access to and use of the Service from that point forward. However, please be aware that changes to the dispute resolution provisions, as set forth in the Governing Law and Dispute Resolution section, will not be retroactively applied to disputes for which the parties had prior notice before the change's posting on the Service.
Your continued use of the Service after we post revised Terms signifies your acceptance of and agreement to these changes. To stay informed about any updates, we encourage you to periodically review this page, as the modified terms are binding on you.
Governing Law and Dispute Resolution
All matters relating to the Service and these Terms and any dispute or claim arising therefrom or related thereto (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of Republic of Armenia without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the courts of Republic of Armenia, located in Yerevan, Armenia, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Modification of the Services
Moneyscope reserves the right to modify or discontinue, temporarily or permanently, some or all of the Services at any time without any notice or further obligation to you. You agree that Moneyscope will not be liable to you or to any third-party for any modification, suspension, or discontinuance of any of the Services.
Entire Agreement
These Terms together with our Privacy Policy constitute the entire agreement between you and Moneyscope regarding the use of the Service and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Moneyscope.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Moneyscope's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
